Continuing a business often involves considering options such as business succession or winding down operations. Our firm includes many attorneys with experience acting as petitioners’ counsel in bankruptcy, civil rehabilitation, and corporate reorganization proceedings, and a number of our lawyers are currently engaged in work as bankruptcy trustees and in similar court-appointed roles.

Because our attorneys have experience from both the business and the court perspectives, we are able to propose solutions that reflect the reality of each client’s situation and to draw on practical experience to help proceedings to move forward smoothly.

In recent years, in addition to formal court procedures, we have also focused on out-of-court workouts that utilize framework-type procedures such as the Guidelines for Business Revitalization of Small and Medium-sized Enterprises and the Guidelines for Personal Guarantees Provided by Business Owners.

Voluntary bankruptcy of a corporation operating nursing homes and clinics

During the initial consultation, we confirmed the client’s key objectives, including arrangements for relocating residents and maintaining employment for staff. Based on this, we were able to protect the business operator’s assets, facilitate the smooth relocation of residents, and then file for voluntary bankruptcy.

Voluntary bankruptcy of a corporation engaged in the rental of bedding and related products for infants and young children

This case involved severe cash-flow difficulties and required an urgent filing for voluntary bankruptcy. By consulting with the court in advance, we were able to ensure a smooth handover to the bankruptcy trustee and minimize any dissipation of the business operator’s asset.

Procedures utilizing out-of-court workouts

In many cases, we actively explore whether the business can be preserved—thereby maintaining its business value and protecting employees’ jobs—by using measures such as business transfers and similar schemes.

We also consider it critically important to support a “fresh start” for representative directors and other individuals who have provided personal guarantees, and we have practical experience in conducting liquidations through out-of-court workouts utilizing the Guidelines for Personal Guarantees Provided by Business Owners.
